Business enterprises maintain valuable confidential information, including your processes, the identity of your customers and suppliers, your future plans and projections, intellectual property, and other proprietary information. One of the dangers that businesses face when engaging in a potential sale transaction is that your confidential information will need be exposed to a third party as you and a potential buyer evaluate a transaction. Non-Disclosure Agreements (aka Confidentiality Agreements) are the most effective way to facilitate the necessary flow of information between you and a potential buyer while protecting your confidential information.
