In this session, we will discuss sale leaseback transactions – what they are, why businesses use them, and what the advantages are. We will also discuss the role of real estate in M&A transactions, and how the real estate can be leveraged by either the buyer or seller to facilitate an M&A deal. Many businesses use real estate that is essential to their operations, however they are not in the business of investing in real estate and are often better off deploying that capital elsewhere. Sale leasebacks allow companies to monetize their real estate by selling to a real estate investor, while retaining full operational control. Many family owned and founder owned businesses have owned their real estate for a long time and have experienced significant appreciation. At the same time, the market value of the real estate to an investor is often significantly more than the appraised value. As a result, real estate tends to be overlooked and undervalued in M&A transactions

ABOUT THE PRESENTER
Greg Paparis is a Senior Associate at Northmarq, where he specializes in sale-leaseback transactions. He works primarily on buy-side and sell-side M&A and portfolio transactions, partnering with investment banks, developers, REITs, private equity firms, and other institutional clientele. Prior to his career in real estate, he worked at a Big 4 accounting firm and a boutique tax consulting firm and earned his CPA certification. He attended the University of Southern California where he received his undergraduate degree in Accounting in the Marshall School of Business.
Anthony Cohen is a Vice President in Northmarq’s Los Angeles commercial investment sales office. Cohen is a highly experienced professional in the real estate industry, specializing in the sale and acquisition of single and multi-tenant properties across the United States. His main areas of focus include industrial/distribution, consumer/retail and healthcare assets. Before entering the real estate world, he earned a degree in finance from Penn State, later becoming an analyst at J.P. Morgan.
